TERMS OF SERVICE

By creating an account or using any part of the Service, you confirm that:

• ›You are at least 18 years of age or the legal age of majority in your jurisdiction
• ›You have read, understood, and agree to these Terms
• ›If acting on behalf of an organization, you have authority to bind that organization
• ›You will comply with all applicable laws and regulations

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email or in-app notification.

Balanza Report is an AI workforce platform providing access to six specialized AI agents:

• ›Trading Bot — Cryptocurrency market analysis and trading signals
• ›Email AI — Email drafting, sorting, and management assistance
• ›Deck AI — Presentation and slide deck creation
• ›Research AI — Information gathering, analysis, and summarization
• ›Code AI — Software development assistance and code review
• ›General AI — General-purpose task assistance

AI responses are generated using third-party AI models (Google Gemini). The quality, accuracy, and completeness of AI responses are not guaranteed. You are responsible for verifying any information before acting on it.

3.1 Account Creation. Accounts are created via Google OAuth. You must provide accurate information and keep your account details current.

3.2 Account Security. You are responsible for maintaining the security of your Google account and any API keys linked to Balanza Report. Notify us immediately at balanza@googlegroups.com of any unauthorized access.

3.3 One Account Per User. You may not create multiple accounts to circumvent restrictions or accumulate free tokens fraudulently.

3.4 Account Termination. We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice.

4.1 Token System. Balanza Report operates on a token-based system. Tokens are consumed when using AI agents. New accounts receive 50 complimentary tokens.

4.2 Token Packages.

• ›Starter: 500 tokens — $5.00 USD
• ›Pro: 1,500 tokens — $10.00 USD
• ›Business: 5,000 tokens — $25.00 USD
• ›Enterprise: 15,000 tokens — $50.00 USD

4.3 Payment Processing. All payments are processed by Stripe. By purchasing tokens, you agree to Stripe's Terms of Service and Privacy Policy. Prices are in USD and exclude applicable taxes.

4.4 Token Expiry. Purchased tokens do not expire while your account remains active.

4.5 Refund Policy.

• ›Unused tokens may be refunded within 7 days of purchase if fewer than 10% have been consumed
• ›Partially used token packages are non-refundable
• ›Complimentary tokens are non-refundable
• ›Contact us at balanza@googlegroups.com before initiating any chargeback — unresolved chargebacks may result in account suspension

4.6 Price Changes. We reserve the right to modify token prices at any time. Price changes do not affect already purchased tokens.

5.1 No Financial Advice. Trading signals, analysis, and suggestions provided by the Trading Bot AI agent do not constitute financial advice, investment recommendations, or solicitation to buy or sell any asset.

5.2 Crypto API Keys. If you provide exchange API keys, you are solely responsible for:

• ›Ensuring keys have appropriate permissions (we strongly recommend read-only keys)
• ›Any trades or actions executed using your API keys through third-party integrations
• ›Compliance with your exchange's terms of service
• ›Any financial losses resulting from trading activity

5.3 Market Risk. Cryptocurrency markets are highly volatile. Past performance of any AI analysis or signal is not indicative of future results. You may lose all funds you invest.

5.4 Regulatory Compliance. You are responsible for complying with all financial regulations, tax obligations, and reporting requirements in your jurisdiction.

You agree not to use Balanza Report to:

• ›Violate any applicable law or regulation
• ›Generate, distribute, or promote illegal content
• ›Infringe intellectual property rights of any third party
• ›Distribute malware, viruses, or other harmful code
• ›Send unsolicited communications (spam) to third parties
• ›Attempt unauthorized access to systems, accounts, or networks
• ›Use the Service for cryptocurrency mining
• ›Conduct DDoS attacks or any form of network disruption
• ›Attempt to reverse-engineer, decompile, or extract source code
• ›Resell or commercially redistribute access to the Service without authorization
• ›Impersonate any person, organization, or AI system
• ›Use AI agents to generate defamatory, harassing, or abusive content
• ›Circumvent rate limits or token consumption systems through automated scraping

Violation of this policy may result in immediate account suspension and, where applicable, reporting to relevant authorities.

7.1 Our Property. The Balanza Report platform, including its design, software, branding, and documentation, is owned by Balanza Report and protected by applicable intellectual property laws.

7.2 Your Content. You retain ownership of content you submit to the Service (conversation messages, uploaded files). By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide the Service.

7.3 AI Output. You own the AI-generated outputs produced in response to your prompts, subject to applicable law and the terms of the underlying AI model providers (Google Gemini API Terms).

7.4 Feedback. Any feedback or suggestions you provide may be used by us to improve the Service without obligation to you.

We strive for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

• ›Scheduled maintenance (we aim to notify in advance)
• ›Emergency security patches
• ›Third-party service outages (Google AI, Stripe, Turso database)
• ›Force majeure events

We target 99% uptime on a monthly basis but provide no SLA guarantees on free or standard token plans.

The Service integrates with third-party services. Your use of those services is subject to their own terms:

• ›Google OAuth & Gemini AI — Google Terms of Service
• ›Stripe — Stripe Services Agreement
• ›Binance / Coinbase / Kraken / other exchanges — respective exchange terms

We are not responsible for the availability, accuracy, or practices of third-party services. Disruption of third-party services may affect Balanza Report functionality.

10.1 AI Accuracy. We do not warrant that AI responses are accurate, complete, up-to-date, or suitable for any particular purpose. AI models can produce incorrect, biased, or misleading information.

10.2 Limitation of Liability. To the maximum extent permitted by applicable law, Balanza Report shall not be liable for:

• ›Indirect, incidental, special, or consequential damages
• ›Loss of profits, data, or business opportunities
• ›Financial losses from trading decisions informed by AI analysis
• ›Damages exceeding the total amount paid to us in the 12 months prior to the claim, or $100, whichever is greater

10.3 Indemnification. You agree to indemnify and hold harmless Balanza Report from claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

11.1 By You. You may delete your account at any time from Settings. Upon deletion, your data will be removed within 30 days, subject to retention requirements in our Privacy Policy.

11.2 By Us. We may suspend or terminate your access immediately, with or without notice, for:

• ›Violation of these Terms or our Acceptable Use Policy
• ›Non-payment or fraudulent activity
• ›Requests from law enforcement or government agencies
• ›Extended periods of inactivity

11.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Unused tokens are forfeited unless termination was caused by us without cause, in which case a prorated refund may be issued.

These Terms are governed by applicable law. For disputes:

• ›If unresolved within 30 days, disputes may be submitted to binding arbitration
• ›Class action lawsuits are waived to the extent permitted by law
• ›Small claims court remains available for qualifying disputes

Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Balanza Report regarding the Service.

Waiver. Failure to enforce any right or provision of these Terms does not constitute a waiver of that right.

Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights to any successor entity.
